Heighington Law Firm (“HLF”) is a small securities and corporate law boutique which represents a diverse group of publicly traded companies throughout the country. HLF has a core client base of companies operating in oil and gas, mining, exploration and industrial sectors. The firm acts for numerous public companies primarily listed on the Toronto Stock Exchange (“TSX”) and TSX Venture Exchange (“TSXV”) and is extensively involved in the area of public corporate law and securities law.

HLF regularly advises issuers and public companies in relation to corporate governance policies that meet with Canadian standards set by securities regulators and stock exchanges such as reporting and continuous disclosure obligations for directors and officers including director, officer and audit committee duties and liabilities, insider trading and control person restrictions, executive compensation disclosure and maintaining SEDAR filings, Securities exemptions and orders, annual and special meetings, proxy information circulars, related party transactions, proxy rights and the drafting of shareholder rights plans.

HLF advises on a broad range of corporate finance matters, including initial and secondary offerings of equity, debt, preferred and capital securities and other instruments. We offer our capital markets clients experienced, cost-effective legal advice.
